BOE HYDIS announces company sale
 

- LOI to be accepted by early October

- Preferred bidders selected by November

 

September 4, 2007 (Icheon, Gyeonggi-do, Korea)…TFT-LCD manufacturer BOE HYDIS (Court Receiver (President) Hae-Sung Park, www.boehydis.com) announced its corporate sale under the Court’s Rehabilitation Plan on September 4, 2007, commencing its activities for the sale.

 

As for transaction method, outside capital will be attracted through new investment by third parties such as issuance of new shares. The process will be based on open competitive bids.

 

Transaction procedures are planned as follows: ▲ Submission of Letter of Intents (LOI) by October 10, 2007; ▲ Preliminary Due Diligence Review from October 22 through November 9, 2007; and, ▲ Submission of Binding Bids by November 15, 2007 based on which preferred bidders will be selected.

 

LOI and Binding Bids are to be submitted to Samil PricewaterhouseCoopers (the M&A seller-side advisor of BOE HYDIS TECHNOLOGY CO., LTD.) BU4 TS/FAS 3 Team STX Namsan Tower 10th Floor, 631 Namdaemunno 5-ga, Jung-gu, Seoul, 100-803, Korea. The form of LOI and guidelines will be provided upon request from Samil PricewaterhouseCoopers or can be downloaded from the BOE HYDIS website (www.boehydis.com). BOE HYDIS President Hae-Sung Park commented, “Through continued technology development and stable product supplies under the court rehabilitation plan, our management conditions have been gradually recovering. We expect the sale contract will be made around the first quarter of next year.”

 

BOE HYDIS filed for court receivership on September 8, 2006 due to adverse TFT-LCD market conditions and the company’s liquidity problems. Court receivership was approved on May 31, 2007, and all equity relations between BOE HYDIS and its shareholder the BOE Group were nullified.

 

BOE HYDIS was initially established as the LCD Business Division of Hyundai Electronics in 1989. The division then separated from Hyundai Electronics and changed its name to HYDIS in 2001. Two years later it was taken over by the China-based BOE Group to become the current BOE HYDIS.
